sorry, but from my understanding, they are NOT.
the major restriction on "OEM software" is that it's non-transferable and non-upgradeable. which generally means, when the system gets retired, so does the software it came with.

Also, if the license was already registered with microsoft, you will need to contact Microsoft and explain that you HD died and your re-installing the app. or else it will prompt you that the license is already registered and to contact MS.

however, the Retail version a.k.a. (Full-Packaged Product (FPP) can be transferred, and support is also included.

actually, you can install it on any system, but legally, it can only be installed on the system it was purchased with (when it was pre-loaded) from the PC builder (Dell, IBM, etc...)

i concur, especially since the OEM version came from Dell.
